1. Acceptance of Terms
By accessing or using the Potly platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Platform Description
Potly is a technology platform that facilitates group savings circles (ROSCAs). In Phase 1, Potly provides tracking, verification, and communication tools. Potly does not hold, custody, or manage member funds in Phase 1. Members transact directly with each other using their preferred payment methods.
3. User Responsibilities
- Provide accurate and truthful information during registration and verification.
- Make contributions on time according to the agreed circle schedule.
- Not attempt to defraud, mislead, or harm other members.
- Maintain the security of your account credentials.
4. Payment Terms and Fees
Potly is free to use for basic circle participation. Premium features, credit reporting, and optional services may carry subscription fees disclosed at the time of enrollment. Credit card payments carry a 5-6% processing fee. All fees are non-refundable unless required by law.
5. Trust Score
Your Trust Score (0-100) is calculated based on payment history, verification status, participation, and circle completion. Late or missed payments will reduce your score. The score is portable across all circles. Potly reserves the right to adjust scoring algorithms to improve fairness and accuracy.
6. Circle Rules
- Rotation order is locked at circle creation and cannot be changed unilaterally.
- Emergency actions require group consensus through the voting system.
- Members removed by group vote will have this reflected in their Trust Score.
7. Prohibited Conduct
- Creating fake accounts or using false identity documents.
- Deliberately missing payments to exploit the system.
- Harassing, threatening, or intimidating other members.
- Using the platform for money laundering or illegal activities.
8. Limitation of Liability
Potly provides a technology platform and is not responsible for disputes between members, missed payments by individual members, or the financial outcomes of any savings circle. In Phase 1, Potly does not hold or custody funds. To the maximum extent permitted by law, Potly's total liability shall not exceed the fees paid by you in the preceding 12 months.
9. Dispute Resolution
Any disputes arising from or related to these Terms shall be resolved through binding arbitration in Houston, Texas, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits against Potly.
10. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
